These Terms of Service apply to PortuguesePal.com, talk.portuguesepal.com and the PortuguesePal services that link to these Terms. PortuguesePal is operated by Cloudvale LLC, a limited liability company registered in Wyoming, United States. “PortuguesePal,” “we,” “us” and “our” refer to Cloudvale LLC.
For questions about your account, subscription, payment or these Terms, contact [email protected].
Your agreement with PortuguesePal
These Terms govern your access to and use of PortuguesePal. We make them available before you register or purchase a plan. You agree to them when you select an acceptance control or complete another action clearly identified as agreement to these Terms. If you do not agree, do not complete that registration or purchase.
The plan description, price and payment conditions clearly presented when you purchase form part of your agreement. A purchase is accepted when we confirm it and make the purchased access available, subject to any mandatory rules governing contract formation.
Our Refund Policy explains refund procedures. Our Privacy Policy explains how personal information is handled. Acceptance of these Terms does not replace a separate consent required for personal-data processing, cookies or recurring payments.
Specific terms expressly agreed for an organizational plan or particular offer apply to the matters they address. They do not remove mandatory consumer rights. These Terms apply only to PortuguesePal services, not automatically to other brands or websites.
Eligibility and account security
Our general consumer service is intended for users aged 13 and over, subject to any higher minimum age or other requirement that applies where you live. If you cannot legally enter into this agreement yourself, a parent or legal guardian must provide the authorization required by applicable law. A school arrangement or a child-friendly feature does not replace legally required safeguards for children.
Provide accurate account and billing information and keep information needed to contact you up to date. Protect your login credentials and notify us promptly if you suspect unauthorized access. You are responsible for use you authorize; this does not make you automatically responsible for activity resulting from a security failure attributable to us.
An individual account is for the registered user's use unless a plan expressly allows additional users. Do not sell, rent or commercially share access without authorization. If you enter into an agreement for an organization, you must have authority to act for that organization.
AI Portuguese learning and learning results
PortuguesePal provides AI-assisted language practice, including Brazilian Portuguese and European Portuguese conversations, text and voice interaction, pronunciation and grammar feedback, roleplay, learning progress and related features. The features available to you depend on the service and plan described when you use or purchase them.
Our AI tutors and conversation partners are automated systems. They are not human teachers. Responses, translations, pronunciation feedback and learning-level estimates can contain errors or be incomplete. Use your judgment when relying on an output, particularly outside a learning exercise.
Learning progress depends on factors such as your starting level, practice and individual circumstances. We do not promise a particular fluency level, examination result, employment outcome or improvement within a fixed period.
Where provided, CEFR-aligned assessments and PortuguesePal language certificates describe learning activity or estimated proficiency within the service. They are not a guarantee of recognition by a school, employer or examination body and do not replace a qualification required by that organization.
These explanations do not remove our obligation to provide the service as described or any legal remedy for a service that fails to meet applicable standards.
Free access and paid plans
You can start with the free access offered on PortuguesePal without adding a credit card. Free use does not, by itself, enroll you in a paid subscription or authorize a charge.
Paid plans may provide additional access, usage allowances or features. The applicable price, currency, access period, limits and included features are shown before you pay. A recurring subscription and a one-time purchase have different billing conditions; a one-time payment does not renew automatically unless you separately choose a subscription.
The duration of any one-time access is the duration stated in the offer. An introductory discount applies only for the period identified in that offer, and any following renewal price must be clearly disclosed.
We may update free features prospectively. Changes to purchased features and existing paid access are subject to Section 13 and your mandatory rights. We will not retroactively add an undisclosed usage charge to a purchase you have already made.
Payments and automatic renewal
Payments are processed through the payment provider or seller identified at checkout. You must be authorized to use the selected payment method. The payable amount, currency, billing period and applicable taxes or other required charges are disclosed before the order is placed. Your bank or payment provider may apply its own currency-conversion or other charges.
Paid access is supplied electronically through your account following successful payment and order acceptance. No physical shipment is required. If access is not activated as expected, contact [email protected] with your account email and order details.
A subscription renews automatically only when you have agreed to recurring billing. Before enrollment, we disclose the recurring price or how it is determined, the renewal frequency and how to cancel. Your authorization covers charges under those disclosed conditions until cancellation takes effect.
We provide renewal notices and obtain additional consent where required by applicable law. A price change applies prospectively, with the required advance notice and opportunity to cancel before the changed charge. We do not increase a price already paid for an existing service period retroactively.
If a payment fails, access associated with that payment may be interrupted while the issue is resolved. Any permitted payment retry must remain within your payment authorization and applicable law. Contact us if you believe a charge is incorrect or was made after an effective cancellation.
Canceling a subscription
You may cancel future renewal through the subscription-management controls available for your purchase or by contacting [email protected]. We provide any additional online cancellation or withdrawal function required by applicable law. You do not need to delete your account or provide a reason to cancel future renewal.
Submit your cancellation before the next scheduled renewal charge. We act on valid cancellation requests without unnecessary delay and provide appropriate confirmation. A delay in our support team's review does not change the time at which you submitted a valid request.
Unless you request immediate account closure, receive a refund ending the relevant paid access, or another lawful reason applies, canceling renewal allows you to use the remainder of the period already paid for. Cancellation by itself does not automatically refund an earlier payment; refund eligibility is explained below.
If a purchase is managed by an app store, merchant of record or other separate seller, its applicable purchase-management process may also be relevant. Contact us for help identifying and handling the subscription associated with your PortuguesePal account. Such arrangements do not remove your mandatory legal rights.
Our standard refund policy
For both a purchase and a subscription renewal, you are eligible for our standard refund when both of the following conditions are met:
- You contact [email protected] within 24 hours of the successful purchase or renewal payment.
- You have used fewer than five AI-tutor interactions after that payment.
Mandatory consumer rights remain unaffected. Read Section 8.
“Fewer than five” means 0–4 interactions. For this rule, an interaction is one text or voice message you submit to an AI tutor that is processed by the service; the tutor's reply is part of that interaction. For a renewal, the usage assessment starts from the relevant renewal payment, rather than including your activity from an earlier paid period.
The 24-hour period runs from the time of the relevant successful payment. Eligibility is assessed using the submission time of your refund request and the relevant usage at that time, rather than the time when our team reads your message. Please pause further paid AI practice while your refund request is being reviewed.
Each interaction with an AI tutor uses AI processing resources, including tokens, and creates a cost for PortuguesePal. This is why our standard refund policy includes both a time limit and a usage limit. Deleting a message or clearing visible conversation history does not change the usage that already occurred for this assessment.
To request a refund, email us with the email address associated with your account and enough order information to identify the payment. We may ask for the order number, payment date or amount. Do not send your password or complete payment-card details. We review the request and explain the outcome. If you believe a usage or payment record is incorrect, tell us so we can investigate it.
Eligible refunds are returned through the original payment method where possible, subject to applicable payment procedures and legal deadlines. The time for a refund to appear in your account also depends on the payment provider and receiving bank.
Outside the two conditions above, a payment is not eligible under this standard refund offer unless another applicable offer or the law provides a refund right. A refund that ends the relevant paid service also ends access covered by the refunded payment; future renewal is handled through the cancellation process in Section 6.
Read our Refund Policy for the full procedure and payment-specific details. This standard refund policy does not limit statutory withdrawal rights or remedies for defective, misdescribed or undelivered services, as explained in Section 8.
Statutory withdrawal and consumer rights
The 24-hour and fewer-than-five-interactions conditions are our commercial refund offer. They do not replace a cancellation period, consumer guarantee or other remedy that applicable law gives you.
EEA and UK consumers. Where the relevant distance-contract rules apply, you generally have 14 days from the conclusion of a service contract to withdraw without giving a reason. The applicable law determines the exact period, any extension and any exception. You may communicate withdrawal by an unequivocal statement to [email protected] or use an applicable online withdrawal function. No special wording is required for an email request.
If you expressly request that a service begin during a statutory withdrawal period, the law may allow a proportionate charge for service already supplied before withdrawal, but only where the required information and authorization conditions have been met. For a service contract, any loss of withdrawal rights following full performance also depends on the required prior express consent and acknowledgment. Merely logging in or sending a message does not automatically waive those rights.
Different rules may apply to separately supplied digital content that is not provided on a physical medium. Any loss of a withdrawal right for that content requires the express consent, acknowledgment and contract confirmation required by law. Acceptance of these general Terms alone does not establish those conditions.
An automatic renewal does not necessarily create a new statutory 14-day withdrawal period. Our separate 24-hour standard refund offer nevertheless applies to both purchases and renewals as described in Section 7.
Service quality and other local rights. If the service is not supplied, is materially different from what was agreed, or does not meet a mandatory quality requirement, applicable law may entitle you to correction, a price reduction, cancellation or a refund. Those rights are not lost solely because 24 hours have passed or five or more interactions have been used.
For example, Australian consumers retain applicable non-excludable consumer guarantees. Consumers in Brazil, Canada, the United States and other locations retain any mandatory local cancellation periods, guarantees and remedies that apply to their purchase. We process statutory refunds within the deadline applicable to the relevant right.
Conversation history and account closure
You can delete an individual message in your conversation history or use the option to clear all conversation records covered by that control. These actions let you manage learning content without closing your account. Separate account, payment or progress information may remain, as explained in our Privacy Policy.
You can also use the account deletion option to close your account. If you cannot access your account or need help, contact [email protected]. Account closure ends access through that account, including access to associated learning records and paid features.
Deleting messages or clearing history does not cancel a subscription. If you close your account, address any active subscription at the same time through the available cancellation controls or by contacting us, so future billing can be stopped. Subscription cancellation remains available through support if you can no longer sign in.
Account deletion does not automatically create a refund entitlement, and it does not waive an existing refund or other statutory right. Personal information associated with a closed account is deleted or anonymized subject to the limited lawful retention explained in our Privacy Policy. Records required for transactions, legal compliance or a valid dispute may be retained for those purposes.
Your content and our intellectual property
You retain the rights you have in the messages, voice input and other material you submit. You are responsible for having the rights or permissions needed to submit that material and use it through the service.
You give PortuguesePal a non-exclusive license to host, process, transmit and display your content to the extent needed to provide the features you request, generate responses, maintain your history, provide support and protect the service. Relevant providers may process the content for those purposes under appropriate arrangements. This license is limited by our Privacy Policy and applicable data-protection law; it is not an unrestricted license to advertise with your private conversations or use them for unrelated model training.
The license ends when the relevant content is deleted, except to the limited extent necessary for lawful retention, backup deletion or resolving an existing matter as described in the Privacy Policy.
You may use AI-generated responses for lawful learning and other lawful activities, subject to these Terms and any applicable third-party rights. Outputs may be similar to content generated for other users, and we do not promise that every output qualifies for exclusive intellectual-property protection.
PortuguesePal's software, interface, branding and original platform materials belong to Cloudvale LLC or its licensors. We grant you a limited right to access and use the service under your plan. You may not copy, resell or exploit the platform or its branding beyond that permission or rights the law independently provides.
Responsible use
Use PortuguesePal lawfully and in a way that respects other people's rights. You must not:
- Use the service for unlawful activity, fraud, impersonation, threats or targeted harassment.
- Submit material that infringes intellectual-property rights or disclose someone else's confidential or personal information without a lawful basis.
- Introduce malicious code, interfere with security or deliberately overload the service.
- Bypass access controls, payment requirements or disclosed usage limits, including by creating accounts to evade those limits.
- Scrape, copy or extract platform data through unauthorized automated means, or commercially resell access without permission.
- Misrepresent an AI response or PortuguesePal certificate as a qualification, endorsement or official decision that it is not.
Restrictions on technical analysis or interoperability do not override rights that applicable law expressly permits and that cannot be excluded by contract. If you encounter a security issue or believe a restriction was applied incorrectly, contact us.
Privacy and third-party services
Our Privacy Policy describes the handling of account information, conversations, voice input, learning records, payments, cookies and privacy requests. Please avoid placing unnecessary sensitive information in learning conversations.
PortuguesePal may use third-party infrastructure, AI and speech services, authentication systems and payment services to deliver its features. A provider's independent service or payment processing may be subject to its own terms disclosed in the relevant process. We remain responsible for our obligations to you and do not exclude that responsibility merely because we use a provider.
External websites and services that you independently choose to visit or use are responsible for their own operations. Contact us if you need help identifying the PortuguesePal service or payment involved in a support request.
Availability and changes to the service
PortuguesePal is designed for on-demand online practice. Access can be affected by maintenance, technical faults, internet connectivity, security measures and other circumstances. You need a compatible device, browser and internet connection; voice features also require a suitable microphone and relevant device permission.
We use reasonable care to maintain the service, address faults and provide updates needed to keep purchased services in conformity with the agreement and applicable law. Where practical, we give advance notice of maintenance likely to materially affect access.
We may make reasonable changes for valid reasons such as security, legal requirements, technical compatibility, provider changes or service improvement. A change must not be used to remove an agreed paid entitlement without the notice and remedy required by the contract or applicable law. Necessary conformity updates are not a basis for an undisclosed additional charge.
For an EU or EEA consumer entitled to protection under applicable digital-service rules, a modification that negatively affects access or use beyond a minor degree can carry a right to terminate without charge within 30 days after notice or the modification, whichever is later, unless continued conforming access without the modification is offered at no additional cost. We provide the information and any refund required by those rules.
If we discontinue a paid service before the end of an agreed access period for reasons unrelated to your breach, we provide appropriate notice and an appropriate refund for undelivered access or another remedy required by law. Events beyond our reasonable control do not remove non-excludable consumer rights.
Suspension and termination
We may restrict or suspend access where reasonably necessary to address a material breach, a genuine security risk, unlawful activity, payment failure or a legal requirement. Measures should be proportionate to the issue.
Where reasonably possible and lawful, we explain the reason and give you an opportunity to correct the issue before ending paid access. Immediate action may be necessary to protect users, secure the service or comply with the law. You can contact [email protected] if you believe action was taken in error.
Suspension or termination does not automatically forfeit money you are legally entitled to recover, cancel an existing privacy right or make you responsible for a loss you did not cause. Charges, refunds and access following termination are handled according to the circumstances, these Terms and applicable law.
Responsibilities and limits of liability
We are responsible for supplying the agreed service with the care and quality required by applicable law. You are responsible for your lawful use of the service and for taking reasonable steps to protect your own account and information.
For consumers, we remain responsible for losses for which the law makes us responsible, including reasonably foreseeable loss caused by our breach where that standard applies. The limitations below do not reduce a consumer guarantee or other right that cannot lawfully be restricted.
For business users only, and to the extent permitted by law, our total contractual liability arising from the service is limited to the fees paid for the affected service in the 12 months preceding the event giving rise to the claim. We do not accept liability to business users for indirect or consequential business losses to the extent such liability may lawfully be excluded. This limitation does not remove a refund expressly due under these Terms.
Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that applicable law does not permit us to exclude or limit. Explanations about AI limitations do not cancel your mandatory rights concerning service quality or misleading descriptions.
Changes to these Terms
We may update these Terms for valid reasons such as changes in the law, service features, security or business operations. We publish the revised version and update the date above.
For material changes affecting existing users, we give reasonable advance notice through an appropriate channel and obtain agreement where required. A change does not retroactively remove rights relating to a payment, refund request or dispute that arose under an earlier version.
Where a proposed change materially affects an existing paid agreement and you are entitled to reject it, we explain the available cancellation or other remedy. Merely posting new terms does not establish a new consent or waive a right where the law requires more.
Governing law and resolving concerns
Contact [email protected] if you have a service concern or dispute. Describe the issue and provide relevant account or order information so we can investigate and work toward a resolution. This contact route does not restrict a legal right or remedy that cannot be excluded.
Subject to applicable choice-of-law rules and mandatory consumer protections, these Terms are governed by the laws of Wyoming, United States. If you are a consumer, this choice does not deprive you of mandatory protections afforded by the law that would otherwise apply, including applicable protections in your country of habitual residence.
Any legal proceedings remain subject to applicable jurisdiction rules and mandatory consumer rights. These Terms do not require a consumer to bring every claim exclusively in Wyoming or to waive a non-waivable right.
If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. A provision will not be rewritten in a way that removes protection the law gives you. A delay in exercising a right does not automatically waive that right. Any transfer of this agreement by us must preserve your existing rights and comply with applicable notice or consent requirements.

Frequently asked questions
Can I request a refund after purchasing or renewing PortuguesePal?
Yes. Our standard refund offer applies when you contact [email protected] within 24 hours of the purchase or renewal payment and have used fewer than five AI-tutor interactions after that payment. Both conditions must be met. Every interaction consumes AI processing resources and creates a cost. See our Refund Policy for details. Mandatory withdrawal and consumer rights remain unaffected.
Does the refund policy apply to subscription renewals?
Yes. The same 24-hour and fewer-than-five-interactions conditions apply to renewal payments. For a renewal request, usage is assessed from the relevant renewal payment, rather than from the beginning of your account's history.
How do I cancel my PortuguesePal subscription?
Use the subscription-management controls available for your purchase or contact [email protected] before the next scheduled renewal. Cancellation stops future renewal once effective. A refund for an earlier payment is considered separately under the Refund Policy and applicable law.
Can I delete my messages or close my account?
Yes. You can delete an individual message, clear your conversation history or use the account deletion option. Deleting conversation history does not cancel a subscription. If you close your account, address any active subscription at the same time or contact us for help. Data handling and limited retention are explained in the Privacy Policy.
Is a PortuguesePal language certificate an official examination qualification?
PortuguesePal certificates reflect learning activity or estimated proficiency within the service. They do not replace an examination qualification or guarantee acceptance by a school, employer or other organization. The receiving organization decides what evidence it accepts.
